1. Purpose and B2B Scope
These Terms and Conditions govern your use of the Replan platform.
Replan is a B2B (Business to Business) software tool built exclusively for independent professionals and businesses in the hair and beauty industry. By registering, you confirm that you are acting within your commercial or professional capacity; therefore, consumer protection laws do not apply.

3. Services and Account Tiers
Replan offers a free calendar tier and a premium paid service called "WhatsApp Bookings".
The free account allows basic salon schedule management. The premium service connects your schedule to the WhatsApp API to automate bookings, reminders, and notifications. Replan reserves the right to modify or remove features to improve the service.
4. Meta (WhatsApp) Integration and Salon Responsibilities
Using "WhatsApp Bookings" requires a WhatsApp API (Meta) connected account. Replan acts solely as the software facilitating this connection.
You (the user) are solely responsible for:
- Obtaining explicit consent from your clients to send them WhatsApp messages.
- Complying with Meta's Commerce and Messaging Policies, as well as data protection laws (GDPR).
Replan assumes no liability and will not issue refunds if Meta blocks, suspends, or restricts your salon's WhatsApp account for spam or policy violations.
5. Subscription, Pricing, and Billing
The "WhatsApp Bookings" service is purchased through the app's internal dashboard.
The monthly cost consists of two elements, billed together in a single monthly invoice:
- Fixed fee: The recurring subscription for using the software (e.g., €79/month + VAT).
- Variable usage: The exact cost derived from proactive messages (reminders and notifications) sent via the official WhatsApp API, billed at Meta's current rate at the time of sending.
You authorize Replan to automatically charge this total amount to your provided payment method at the start of each billing cycle.
6. Cancellation and Refund Policy
The service has no lock-in contracts. You can cancel your "WhatsApp Bookings" subscription at any time from your account settings.
Canceling will stop the automatic renewal for the following month. However, no refunds or prorated credits are provided for unused days in the current billed month. The service will remain active until the last day of your paid billing cycle.
7. Acceptable Use and Intellectual Property
Using Replan for fraudulent activities, damaging our servers, or attempting to extract the platform's source code is strictly prohibited. All code, design, branding, and structure of Replan are the exclusive property of its owner. We grant you a limited, revocable, and non-transferable license to use the software while your account is active.
8. Data Processing (Data Processor)
Regarding the end-client data entered into the calendar by the salon, Replan acts exclusively as the Data Processor. The salon (user) acts as the Data Controller and guarantees that all data was collected lawfully. Replan commits to processing this data solely to provide the service, implementing the security measures required by the GDPR, as detailed in our Privacy Policy.
9. Limitation of Liability
As a B2B service, Replan's liability for any technical failure, server downtime, data loss, or WhatsApp service interruption will be limited -to the maximum extent permitted by law- to the amount paid by the user in the 3 months preceding the incident. Under no circumstances will Replan be liable for loss of profits or loss of revenue for the salon.
10. Applicable Law and Jurisdiction
These Terms are governed by Spanish law. Given the strictly B2B nature of this relationship, for any legal dispute, both parties expressly waive any other jurisdiction and submit exclusively to the Courts and Tribunals of the city of Valencia, Spain.
